Coaching services offered by Ruby Rayne, through Moto.Red Design House LLC (DBA: Moto.Red, Moto.Red Design House, M.R), are not intended to be a substitute for professional mental health or medical care. They do not diagnose, treat, or cure any mental health or medical conditions. Ruby Rayne is not a licensed mental health counselor or medical professional.

Unregulated Industry
The coaching industry is unregulated, and coaches under our umbrella are not required to be licensed. All sessions are considered to be held in the State of Washington based on the operating agreement of Moto.Red Design House LLC.

Client Responsibility
You are fully responsible for your well-being during coaching sessions, including your choices and decisions. Coaching is not a substitute for counseling, psychotherapy, psychoanalysis, mental health care, or substance abuse treatment, and it should not be used as a replacement for any form of therapy.

Purpose of Coaching
Any comments or ideas offered by Moto.Red are solely to aid you in achieving your defined goals. You give your informed consent to receive these comments and ideas. Moto.Red does not promise any specific outcomes, including but not limited to increased wealth, health, success, or relationships, in relation to health, lifestyle, career, or business.

Confidentiality
Moto.Red will protect your information as confidential unless you state otherwise in writing. If you report child/elder abuse, neglect, or harm, or threaten to harm yourself or someone else, your confidentiality agreement will be limited in this capacity, and necessary legal actions will be taken. Furthermore, if Moto.Red is ordered by a court to provide information or to testify, they will do so to the extent the law requires.

Technology Risks
You understand that technology is not always secure, and you accept all confidentiality risks in using email, text, phone, BlueJeans, FaceTime, Telegram, WhatsApp, Skype, Zoom, Facebook Messenger, Instagram Messenger, TikTok Messages, social media, and other technology.

Payment and Cancellation Policy
All payments for coaching services are non-refundable and final. Moto.Red reserves paid calendar time to honor our agreement. Your total commitment and participation are expected. Any cancellations are your financial responsibility.

Release of Liability
You hereby release, waive, acquit, and forever discharge Moto.Red, and any agents, successors, assigns, personal representatives, executors, heirs, and employees from every claim, suit, action, demand, or right to compensation for damages you may claim to have or that you may have arising out of acts or omissions by Moto.Red in connection with the coaching services provided.

RECORDING CONSENT AND WAIVER AGREEMENTS

Recording Consent and Waiver Agreements

Enclosed in this document are two essential agreements related to the recording of sessions conducted by Moto.Red, under the guidance of Ruby Rayne and associated parties. These agreements address the recording of both group and private 1-on-1 sessions. Please be aware that your participation in any of our sessions implies your full understanding and acceptance of these terms. We emphasize the importance of reading and comprehending each agreement in detail to ensure mutual understanding and clarity.

Agreement 1: Group Session Recording and Use of Image and Voice Agreement

Consent for Recording and Use
By engaging in services with Moto.Red and its owner, Ruby Rayne, you hereby grant Moto.Red and all related agents, associates, or assignees the unlimited right throughout the universe to:

* Record your voice and/or image (photo or video) during any programs, events, or calls you participate in (excluding private 1-on-1 sessions).
* Use your name, voice, photo and video recordings, written, voice, and/or video comments and testimonials in any format, including but not limited to audio, digital, and physical products.
* Utilize these materials for sales, marketing, or any other business purposes, both online and offline. Publish, distribute, and/or sell these materials in any form.

Waiver of Rights
You waive any right to inspect or approve the usage of such recordings and materials. This waiver includes but is not limited to any claims for libel, slander, invasion of privacy, or any other claim arising from the use of your voice and/or image.

Release of Liability
You hereby release, waive, and hold harmless Moto.Red, Ruby Rayne, and any agents, associates, or assignees from any and all claims, demands, or causes of action out of the recording, use, or distribution of said voice and/or image recordings.

Understanding and Agreement
You acknowledge that you have read and fully understand the terms of this agreement. You are aware that this is a release of liability and a contract between yourself and Moto.Red, and you sign it of your own free will.

 

Agreement 2: Private 1-on-1 Session Recording Waiver

Consent for Recording
By participating in private 1-on-1 sessions with Moto.Red, operated by Ruby Rayne, you acknowledge and consent to the audio and/or video recording of these sessions.

Purpose of Recording
* The recordings are primarily for internal use by Moto.Red to maintain a record of the session.
* The recordings serve as legal proof of the services provided and to document the conduct of the session.
* They are used to ensure that ethical standards and professional guidelines are adhered to during the session.

Confidentiality and Storage
Moto.Red commits to maintaining the confidentiality of these recordings.
The recordings will be stored securely and will only be accessed by authorized personnel of Moto.Red.
Recordings will not be shared, published, or distributed without your explicit written consent, except as required by law.

Access to Recordings
You have the right to request access to the recordings of your sessions.
Requests for accessing these recordings should be made in writing to Moto.Red.

Retention Period
Recordings will be retained for a period deemed necessary by Moto.Red for the purposes outlined above, after which they will be securely deleted.

Release and Waiver
You hereby release and hold harmless Moto.Red, Ruby Rayne, and any associates or assignees from any claims, damages, or liabilities arising from the recording of sessions.
You understand that the purpose of recording is not for public broadcast and is intended for the aforementioned uses only.

Understanding and Agreement
By agreeing to this waiver, you confirm that you have read and fully understand its terms. You acknowledge that this waiver is part of a broader agreement with Moto.Red and agree to it voluntarily as a condition of participating in the private 1-on-1 sessions.

Implicit Consent Through Participation
By participating in any sessions offered by Moto.Red, whether they are group or private 1-on-1 sessions, you implicitly agree to the terms and conditions outlined in both the Group Session Recording and Use Agreement and the Private 1-on-1 Session Recording Waiver. Your continuation with our services signifies your consent to these terms without the necessity for a physical signature.

CLIENT SELF-SCHEDULING POLICY

PURPOSE
Moto.Red Design House LLC is dedicated to providing efficient and accessible service. To streamline our booking process, we require all clients to use our designated online scheduling system, Acuity Scheduling, for all appointment bookings, rescheduling, and cancellations.

POLICY
Online Scheduling
All Moto.Red appointments must be scheduled through Acuity Scheduling. You can book your sessions by visiting the online scheduling page. Bookmark the page for easier access.

Client Responsibility
You are responsible for managing your appointments, including booking, rescheduling, or canceling, using the Acuity Scheduling platform.

Instructions for Scheduling
* Go to the Online Scheduling page (Acuity Scheduling).
* Choose the service category you wish to book.
* Select a date and time that suits your schedule.
* Fill in any required information and confirm your booking.
* For rescheduling or cancellation, follow the prompts in the confirmation email you receive after booking.

Technical Issues
If you encounter difficulties using our online scheduling system through Acuity Scheduling, please contact us for assistance.

Adherence to Scheduling Policies
Please familiarize yourself with Moto.Red’s cancellation and rescheduling policies, which are essential to maintain a smooth operation. Failure to comply may result in cancellation fees or other consequences.

Acceptance of Policy
Your use of our online scheduling system for appointments signifies your acceptance of this policy.

Conclusion

PRIVACY POLICY

At Moto.Red, we understand the importance of protecting your personal information and are committed to maintaining the privacy and security of our clients. This privacy policy explains how we collect, use, and protect your personal information when you use our services.

COLLECTION OF INFORMATION

We collect personal information from clients in order to provide our services. This information includes, but is not limited to, your name, contact information, and information related to your session work. We may also collect information about your device and internet connection, including your IP address, browser type, and internet service provider.

We collect this information through our secure, enterprise-level video chat service, BlueJeans, and through our client intake forms. All sessions are recorded and a copy is provided to the client via Dropbox within seven days of the session.

USE OF INFORMATION

We use the information we collect to provide our services to you and to improve our services. We may also use your information to send you updates or information about our services.

We will not share or sell your personal information to any third parties without your consent, except as required by law.

PROTECTION OF INFORMATION

We take appropriate measures to protect your personal information from unauthorized access, use, or disclosure. We also take steps to ensure that the personal information we collect is accurate and up-to-date.

Refund and Payment Policy
1. Introduction
Thank you for choosing to collaborate with Moto.Red Design House LLC and Ruby Rayne. This Refund and Payment Policy outlines our terms and conditions regarding payments and refunds.

2. Non-Refundable Services
All payments and deposits made to Moto.Red Design House LLC are non-refundable. This includes but is not limited to:
Service hours
Resources
Documentation
Any other billable items

3. Service Hours
Hours are estimated towards defined goals and are not exact. Project time requirements may exceed the estimated time. Additional hours are billed at $250 per hour. Any paid time not used by project completion will be credited towards future work. All hours are non-refundable and expire 12 months from the payment date.

4. Resources
Moto.Red provides access to an extensive library of resources. If a project requires additional resources not in our collection, the client will be informed of costs and options. Agreed-upon payments for these resources are required before procurement. Moto.Red reserves the right to revoke resources if the client misuses or fails to honor agreements.

5. Project Timeline
All goals, benchmarks, and timelines are estimates. Moto.Red strives to meet all objectives but cannot guarantee timelines due to the nature of collaborative work. The client is responsible for planning for potential deadline changes. Moto.Red is not liable for any damages resulting from timeline changes.

6. Addendums
Addendums to projects can be made at any time but must be agreed upon by all parties. Necessary compensation for changes must be made prior to implementation.

7. Documentation
Documentation may be created during the project and is billable. Clients may opt out of documentation but it is recommended for future reference. Documentation can be in the form of images, text, audio, or video.

8. Terms and Conditions
Services are provided as-is without warranty or guarantee.
A 100% payment is required to commence project work.
Clients and Designers agree to be responsive and complete work within a reasonable timeline.
Moto.Red is not responsible for delays caused by client unresponsiveness or failure to provide necessary resources.
Early termination results in the immediate due of the remaining balance.

9. File Delivery and Storage
Files are delivered within a specified timeline, and clients have seven days to confirm usability. Files are stored for up to three years. Clients may request one additional copy within the first year for free. A $200 fee applies for additional copies thereafter.

10. Acceptance of Terms
Any payments towards invoices indicate acceptance of these terms.

TERMS AND CONDITIONS

General Terms
All services are provided as-is without warranty or guarantee. All payments and deposits are non-refundable. A 100% payment is required to move forward on project work. Client and Designer agree to work together, be responsive to requests (within 72 hours and/or three business days), and to complete all project work within a reasonable timeline that adheres to a mutually agreed-upon schedule. The Designer is not held responsible for project delays due to Client unresponsiveness or failure to deliver required/requested project resources (credentials, documents, and resources). Designer and Client may mutually agree to alter arrangements in writing as needed. Early termination results in the remaining balance becoming due immediately.

Moto.Red and its representatives do their best to provide the highest quality service with their experience level of 2+ decades in the field, as well as to satisfy the requirements of the project and the requests of the Client within reason. Files are delivered within a certain timeline, and the Client has seven days to confirm files are usable and/or request alterations and replacements based on the agreement. Files are stored for up to 3 years guaranteed unless circumstances beyond Moto.Red’s control occur, such as a hard-drive failure. Client may request one additional copy of their files within the first year for free, in case of loss or misplacement of files. A $200 replacement fee will be billed each additional time, as long as Moto.Red still possesses the files and can deliver a new copy to the Client.

Confidentiality and Intellectual Property Rights
All work provided to the Client is confidential and for the Client’s use only. Moto.Red reserves the right to share completed work in its portfolio unless explicitly stated by the Client in writing before the project starts. Upon full payment, the Client will own the IP rights to the final deliverables, while Moto.Red retains rights to pre-existing materials and methodologies.

Hours are estimated towards defined goals and are not exact. Project time requirements may exceed the estimated time. Additional hours are billed at $250 per hour. Any paid time on this project that is not used by project completion will be credited towards future work. All hours are non-refundable and expire 12 months from the payment date they were added to the Client’s account.

Resources
Moto.Red has an extensive library of resources that have been acquired over the life of the business, and we enjoy providing our Clients access to these as needed for projects. When possible, Moto.Red will include available licensing and resources for our Client at no additional cost. If a project requires a resource that is not available in our collection, there may be an additional charge to the Client to procure licensing and access to such items. Client will be informed of costs and available options prior to any investment being made. Upon approval, Client will be required to make an agreed-upon payment for resources prior to resources being secured and the project moving forward. Moto.Red is not responsible for providing free resources and only does so as a courtesy to our Client on a per-project basis. Resources can be revoked by Moto.Red if it is discovered the Client is misusing, abusing, or refusing to honor an agreement around the resources; this includes failure to make any agreed-upon payments.

Project Timeline
All goals, benchmarks, and timeline items are estimates and should be treated as such. Collaborative work is dependent on all parties (Client, Designer, Developer, etc.) contributing their part as agreed to move towards the completed work. Moto.Red is committed to delivering all work to the best of its and its talent’s abilities and strives to meet all objectives when possible. However, we cannot guarantee with absolute certainty that all timelines will be met due to the nature of the project. The Client understands that goals and deadlines are flexible and that all timelines are estimates in their nature. The Client understands that it is their sole responsibility to ensure that they plan for deadline changes and associated event alterations. Moto.Red will not be held responsible for any lost earnings, media coverage, or other foreseeable or unforeseeable damages associated with timeline changes.

Feedback and Deadlines
Feedback is required within 3 days of receiving deliverables at each checkpoint leading up to the deadline. If the 3 days are missed, the project halts, and the deadline may be changed to accommodate the delay. We are not responsible for clients missing feedback and resource request deadlines.

Addendums
At any time during the project, an addendum can be added to change the direction of the project. These addendums must be agreed to by all parties, and necessary compensation must be made in order to implement such change orders.

Documentation
As the project progresses, it is common practice to create documentation around resources used and how to work with them. Not all projects require documentation. All documentation is created with billable hours. The Client may opt out of having any documentation created, though it is recommended to allot some billable hours towards documentation creation so that future users of the project are able to quickly educate themselves around complex systems that are present when working with custom code or multi-layered file formats. Documentation can be created in the form of images, text, audio, and video formats.

Payment
All sessions must be paid in full during the time of booking and before the scheduled appointment time. We accept payment via credit/debit card (Visa, Mastercard, AmEx, Discover), Venmo, CashApp, or PayPal.

Refunds
All sales are final, and no refunds or exceptions will be made.

Cancellation and Rescheduling
You may cancel or reschedule your session at least 48 hours before your scheduled appointment. If you fail to do so, you will be charged for the full session and will not have the opportunity to redeem your session. We hold the right to make exceptions for emergency circumstances when deemed appropriate.

Digital Recording
All sessions will be recorded, and a copy will be provided to you via Dropbox within 5 – 15 standard business days (up to 3 calendar weeks) of the session. We reserve the right not to provide a copy of the session based on the nature and content of the session. If a download link is provided, the client has 30 days to download a copy. If the link expires before the client can download their copy, the client will be required to pay a $25 fee for a new link to be provided.

Legal Disputes and Limitation of Liability
Legal disputes will be handled through our attorneys, and the Client will be responsible for all of our legal fees, to the extent permissible by law. The jurisdiction for any legal disputes will be the courts of Snohomish or King County, Washington State, USA. Moto.Red’s liability is limited to the amount paid by the Client for the services rendered.

Acceptance of Terms
By making any payments towards this invoice, you acknowledge and accept the terms and conditions outlined herein.
